Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you ("you" or "Customer") and Teamjects ("Teamjects," "we," "us," or "our") governing your access to and use of the Teamjects website, platform, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you are accessing the Services on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms, in which case "you" and "Customer" shall refer to that organization.

1. Eligibility

You must be at least sixteen (16) years of age and legally capable of entering into a binding contract to use the Services. If you do not meet these requirements, you may not access or use the Services.

2. Accounts

To access certain features of the Services, you must register for an account and, where applicable, create or join a workspace. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are solely responsible for safeguarding your password and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.

3. Subscriptions and Billing

Paid features of the Services are offered through subscription plans. The applicable fees, billing cycle (monthly or yearly), and plan features are presented at the point of purchase and on our pricing page. By selecting a paid plan, you authorize us to charge the designated payment method through our payment processor for all applicable fees, taxes, and charges. Subscriptions automatically renew at the end of each billing cycle unless cancelled in accordance with these Terms. You may cancel a subscription at any time; cancellation takes effect at the end of the then-current billing period, and no refunds are provided for partial billing periods except as required by law. Prices are subject to change upon reasonable advance notice; price changes take effect at the start of the next billing cycle following notice.

Trial periods, where offered, allow you to evaluate the Services for a defined period. If you do not cancel before the trial ends and have provided a valid payment method, your subscription will convert to a paid plan and your payment method will be charged.

4. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  • Infringe upon the intellectual property, privacy, or other rights of any person;
  • Upload, store, or transmit viruses, malware, or any malicious code;
  • Attempt to gain unauthorized access to the Services, related systems, or another user's data;
  • Interfere with or disrupt the integrity or performance of the Services;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services, except to the extent permitted by applicable law;
  • Use the Services to send unsolicited communications or to collect personal information of other users without consent; or
  • Resell, sublicense, or redistribute access to the Services without our prior written consent.

5. Customer Content

You retain all right, title, and interest in and to the content you submit to the Services ("Customer Content"). You grant Teamjects a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and process Customer Content solely as necessary to provide and improve the Services. You represent and warrant that you have all necessary rights to submit Customer Content and that such content does not violate applicable law or the rights of any third party. Teamjects is not responsible for Customer Content and does not pre-screen it, but reserves the right to remove or restrict access to content that violates these Terms or applicable law.

6. Intellectual Property

The Services, including all software, designs, text, graphics, and trademarks, are the exclusive property of Teamjects and its licensors and are protected by United States and international intellectual property laws. These Terms do not grant you any right to use the Teamjects name, trademarks, or service marks without our prior written consent.

7. Privacy

Our collection and handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TEAMJECTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TEAMJECTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TEAMJECTS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TEAMJECTS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TEAMJECTS'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO TEAMJECTS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You agree to indemnify, defend, and hold harmless Teamjects, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Customer Content; (b) your violation of these Terms or applicable law; or (c) your misuse of the Services. Teamjects reserves the right to assume the exclusive defense of any matter subject to indemnification by you, and you will not settle any such matter without our prior written consent.

11. Termination

You may terminate your account at any time. Teamjects may suspend or terminate your access to the Services immediately, without notice, if you breach these Terms or if we believe your conduct creates liability or legal exposure for us. Upon termination, all licenses granted to you under these Terms cease immediately. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — shall survive.

12. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration. You and Teamjects agree to attempt in good faith to resolve any dispute informally before initiating formal proceedings. Where applicable law requires binding arbitration, the parties shall arbitrate in accordance with the rules of the American Arbitration Association.

13. Changes to These Terms

We may modify these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. Material changes will be communicated through the Services or by other reasonable means. Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms.

14. General Provisions

These Terms constitute the entire agreement between you and Teamjects regarding the Services and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right or provision is not a waiver. You may not assign these Terms without our consent; Teamjects may assign these Terms freely. No joint venture, partnership, or agency relationship is created by these Terms.
